Terms of Service

Welcome to FloPost ("we", "us", or "our"). These Terms of Service ("Terms") govern your use of flopost.ai and our social media management services (the "Service"). By accessing or using our Service, you agree to be bound by these Terms.

1. Service Description

FloPost is a social media management platform that provides:

  • Scheduling and publishing posts to Instagram, Facebook, TikTok, Threads, and YouTube
  • A unified inbox for managing Instagram DMs and comments across platforms
  • Automated engagement tools (auto-reply to DMs, auto-like and auto-reply to comments)
  • Analytics and performance insights for connected social media accounts
  • Multi-platform account management from a single dashboard
  • Team collaboration features with role-based access control

Our Service integrates with third-party social media platform APIs. Your use of those platforms is independently subject to their respective terms and policies, which you must also comply with.

2. Account Registration and Eligibility

2.1 Eligibility

To use FloPost, you must be:

  • At least 13 years old (or the minimum age required in your jurisdiction)
  • Legally capable of forming a binding contract
  • Not prohibited from using the Service under applicable laws
  • The authorized manager of any social media accounts you connect to FloPost

2.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account, whether authorized by you or not
  • Notifying us immediately at support@flopost.ai of any unauthorized access or security breach
  • Ensuring that the social media account credentials and connections remain valid

2.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and when connecting social media accounts, and to update such information as necessary.

  • Post content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or violates any person's rights
  • Use FloPost to send spam, unsolicited messages, or bulk automated communications
  • Manipulate engagement metrics or artificially inflate followers, likes, or other metrics
  • Impersonate any person, entity, or brand
  • Use automation to circumvent rate limits or platform policies
  • Attempt to gain unauthorized access to our systems, other users' accounts, or connected platforms
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Interfere with or disrupt the Service, servers, or networks connected to the Service
  • Transmit viruses, malware, or other malicious code through the Service
  • Resell, redistribute, or sublicense the Service or access to it without our written permission
  • Use the Service in any way that violates Meta Platform Terms, Instagram Terms, or any other connected platform's policies

4. Content and Intellectual Property

4.1 Your Content

You retain all ownership rights to content you create, upload, or publish through FloPost ("Your Content"). By using our Service, you grant us a limited, non-exclusive license to:

  • Store, process, and transmit Your Content to connected social media platforms for the purpose of publishing
  • Display Your Content within the FloPost dashboard for your account management
  • Create necessary technical copies (caching, backups) to provide the Service reliably

This license terminates when you delete Your Content or your account, except for content that has already been published to social media platforms (which is then governed by those platforms' terms).

4.2 Our Intellectual Property

All rights, title, and interest in the Service (excluding Your Content) are and will remain the exclusive property of FloPost, including:

  • Software, code, algorithms, and technology
  • User interface, design elements, and visual assets
  • Trademarks, logos, and branding
  • Documentation and support materials

4.3 Content Responsibility

You are solely responsible for Your Content and any consequences of publishing it. We do not pre-screen content but reserve the right to review, monitor, and remove content that violates these Terms, applicable laws, or connected platform policies.

5. Platform Integrations and Limitations

5.1 Third-Party Platform Dependencies

Our Service relies on APIs provided by third-party social media platforms. You acknowledge that:

  • Platform APIs may change, be deprecated, or become unavailable without notice
  • Platforms may impose rate limits that affect posting frequency or data retrieval
  • Platforms may suspend or terminate your account independently of FloPost
  • Content published through FloPost is subject to each platform's content moderation policies
  • Platform outages may prevent scheduled posts from publishing at the intended time

5.2 Limitations

We are not responsible for:

  • Changes to platform APIs, features, policies, or algorithms
  • Posts that fail to publish due to platform errors or rate limits
  • Content removal or account actions taken by social media platforms
  • Loss of access tokens due to platform policy changes
  • Accuracy of analytics data provided by social media platform APIs

6. Payments and Subscriptions

6.1 Fees

Some features of FloPost may require a paid subscription. Current pricing is displayed on our website. We reserve the right to change pricing with 30 days' notice.

6.2 Billing

  • Subscriptions renew automatically at the end of each billing period unless cancelled
  • You authorize us to charge your payment method on file for recurring subscription fees
  • Failed payments may result in suspension of premium features
  • All fees are non-refundable except as required by applicable law

6.3 Cancellation

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of the current billing period — you retain access to premium features until then.

7. Service Availability and Modifications

7.1 Availability

We strive to provide reliable service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to:

  • Scheduled maintenance (we will provide advance notice when possible)
  • Emergency repairs or security patches
  • Third-party service outages (hosting, APIs, payment processing)
  • Circumstances beyond our reasonable control (force majeure)

7.2 Modifications

We reserve the right to modify, update, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice for material changes. We are not liable for any modification, suspension, or discontinuation of features.

8. Termination

8.1 Termination by You

You may terminate your account at any time through your account settings or by emailing support@flopost.ai.

8.2 Termination by Us

We may suspend or terminate your account immediately, with or without notice, if you:

  • Violate these Terms or any connected platform's terms of service
  • Engage in fraudulent, illegal, or abusive activity
  • Fail to pay applicable subscription fees after notification
  • Create legal risk or liability for FloPost or other users
  • Use the Service in a way that may damage our reputation or relationships with platform partners

8.3 Effect of Termination

Upon termination:

  • Your right to use the Service ceases immediately
  • Pending scheduled posts will not be published
  • We will delete your data according to our Privacy Policy (within 30 days)
  • Content already published to social media platforms will remain on those platforms
  • You remain liable for any fees incurred before termination
  • Sections of these Terms that by their nature should survive (including liability, indemnification, and dispute resolution) will continue to apply

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the maximum extent permitted by law, we disclaim all warranties, including but not limited to:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties that the Service will be uninterrupted, timely, secure, or error-free
  • Warranties regarding the accuracy, reliability, or completeness of analytics data or content
  • Warranties that scheduled posts will publish at exactly the specified time
  • Warranties that defects will be corrected or that the Service is free of viruses or harmful components

Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLOPOST SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, business opportunities, or goodwill
  • Loss of or damage to reputation arising from scheduled posts, automated messages, or published content
  • Damages arising from platform API changes, outages, rate limits, or policy changes
  • Damages arising from unauthorized access to your account
  • Actions or inactions of third-party social media platforms

Our total aggregate liability for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of: (a) the total amount you paid us in the 12 months preceding the claim, or (b) one hundred US dollars ($100).

Some jurisdictions do not allow limitation of liability for certain damages, so some of these limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless FloPost, its officers, directors, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your Content or any content you publish through the Service
  • Your violation of any third-party rights (including platform terms of service)
  • Your violation of any applicable law or regulation

12. Privacy and Data Protection

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. Our Privacy Policy describes how we collect, use, store, and protect your data, including data obtained through connected social media platforms. Please review it carefully.

13. Dispute Resolution

13.1 Informal Resolution

Before filing a formal claim, you agree to first attempt to resolve any dispute informally by contacting us at legal@flopost.ai. We will attempt to resolve the dispute via email within 30 days.

13.2 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, United States, without regard to conflict of law principles.

13.3 Arbitration

Any dispute that cannot be resolved informally shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, except for disputes that qualify for small claims court. The arbitration shall be conducted in English.

13.4 Class Action Waiver

You agree that any disputes will be resolved on an individual basis and not as part of any class, consolidated, or representative action.

14. General Provisions

14.1 Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or prominent notice within the Service at least 15 days before the changes take effect. Continued use after the effective date constitutes acceptance.

14.2 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and FloPost regarding the Service and supersede all prior agreements and understandings.

14.3 Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect.

14.4 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

14.5 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction in connection with a merger, acquisition, or sale of assets.

14.6 Force Majeure

We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including natural disasters, war, terrorism, riots, government actions, internet or infrastructure failures, or pandemic.
